Terms of Service for How2Spanish

1. Introduction and Acceptance of Terms
1.1. These Terms of Service ("Terms") constitute a legally binding agreement between you and Artem Garnyshev (NIF Z1094454G, Av. de l'Orxata, 20, 46120 Alboraia, Valencia), the owner and operator of the website and web application "How2Spanish" ("the Service").
1.2. By using our Service, registering for an account, or purchasing our services, you confirm that you have read, understood, and unconditionally accept these Terms, as well as our Privacy Policy. If you do not agree with any of these terms, you must not use the Service.
2. Description of the Service
2.1. The Service is an innovative AI-powered educational platform designed to assist expats in Spain with language and cultural adaptation. The Service provides personalized learning materials, including flashcards, grammar exercises, and real-life situation simulations.
3. User Accounts
3.1. Age Requirements:
To create an account and use the Service, you must be at least 14 years old. By registering, you confirm that you have reached this age. If we become aware that a user is under 14 years of age, we reserve the right to immediately delete their account.
3.2. Account Responsibility:
You are fully responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. Each account is intended for individual use and is not transferable.
3.3. Consent to Receive Emails:
By creating an account, you consent to receive emails from us. This includes both transactional emails (e.g., for registration confirmation, password reset, or transaction notifications) and informational emails (e.g., announcements of new articles, service updates, or special offers).
4. "Credits" System and Payments (Pay-As-You-Go Model)
4.1. "Credits" Virtual Currency:
The Service uses an internal virtual currency called "credits." Credits represent a limited, personal, non-transferable, non-sublicensable, and revocable license to use certain AI-powered features of the Service (e.g., exercise generation). Credits are not money and have no value outside the Service.
4.2. Purchasing Credits:
You can purchase credit packages through the Service. Prices for packages are listed on the relevant page. We use third-party payment systems (e.g., Stripe, PayPal) to process payments. By providing payment information, you warrant that it is accurate and complete and that you are authorized to use this payment method.
4.3. Taxes:
All prices listed in the Service do not include Value Added Tax (IVA). In accordance with Spanish law, IVA at a rate of 21% will be added to the cost of credit packages, which will be clearly indicated at the payment stage.
4.4. No Refunds:
All credit purchases are final and non-refundable, except as expressly provided by applicable law. Unused credits are not compensated.
5. Referral Program
5.1. "Invite a Friend" Program:
Every registered user receives a unique referral link. If a new user registers through your link, they receive bonus credits, and you receive a reward of 10% of the value of all their future purchases as credits on your internal account. These credits can be used to pay for Service features.
5.2. Partner Program:
We also offer a partner program for teachers, bloggers, and influencers with a monetary reward. The terms of this program are governed by a separate agreement. For more information, please contact us.
6. Intellectual Property
6.1. Service Ownership:
The entire Service, including but not limited to its software code, design, texts, graphics, logos, teaching methodology, and AI systems, is the exclusive property of Artem Garnyshev and his licensors and is protected by intellectual property laws.
6.2. User License:
We grant you a limited, non-exclusive, personal, non-transferable, and revocable license to access and use the Service exclusively for personal, non-commercial purposes in accordance with these Terms.
7. Acceptable Use Policy
7.1. You agree not to use the Service for any unlawful purposes. You are prohibited from:
- a) Copying, modifying, distributing, selling, or leasing any part of the Service.
- b) Reverse engineering or attempting to extract the source code of the Service.
- c) Using automated systems (bots, scrapers) to access the Service.
- d) Creating multiple accounts to abuse free offers or the referral program.
8. Disclaimer of Warranties and Limitation of Liability
8.1. The Service is provided on an "as is" and "as available" basis. We make no warranties, express or implied, that the Service will be uninterrupted, error-free, or that it will meet your specific requirements.
8.2. To the maximum extent permitted by law, our total liability to you for any claims arising from the use of the Service will not exceed the amount you paid for the Service within the six months preceding the event giving rise to the claim.
9. Termination
9.1. You may cease using the Service and delete your account at any time through your profile settings.
9.2. We may suspend or terminate your access to the Service at any time without prior notice if we reasonably believe that you have violated these Terms.
10. Governing Law and Jurisdiction
10.1. These Terms are governed by and construed in accordance with the laws of Spain.
10.2. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the city of Valencia, Spain.
